# Terms & Conditions

These Terms & Conditions (“Terms”) govern your access to and use of the website yardagency.ai (the “Site”) and the marketing services offered by BOODLEYARD AI Technologies Private Limited , operating as YARD AI Agency (“YARD”, “we”, “us”, or “our”). By accessing the Site or engaging our services, you agree to these Terms. If you do not agree, please do not use the Site or our services.

1. Definitions

• “Services” means the marketing, advertising, creative, automation, and consulting services we provide, including performance marketing, SEO/AEO/GEO, AI funnels, retention marketing, brand strategy, website development, and related offerings.
• “Client” means any individual or entity that engages YARD for Services.
• “Engagement” means a specific scope of Services agreed between YARD and a Client, typically set out in a proposal, statement of work, or order (“SOW”).

2. Use of the Site

You may use the Site for lawful purposes only. You agree not to misuse the Site, attempt to gain unauthorised access, disrupt its operation, or use it to infringe the rights of others. We may modify, suspend, or discontinue any part of the Site at any time without notice.

3. Engagements and scope

The specific Services, deliverables, timelines, and fees for any Engagement are defined in the applicable proposal or SOW agreed in writing between YARD and the Client. Where there is any conflict between these Terms and a signed SOW, the SOW prevails for that Engagement. Work outside an agreed scope may be subject to additional fees.

4. Fees and payment

• Fees, billing schedule, and payment terms are set out in the applicable proposal or SOW.
• Unless otherwise stated, invoices are payable within the period specified on the invoice. Late payments may result in suspension of Services.
• Third-party costs (such as advertising spend, software, or media) are the Client’s responsibility and are billed in addition to our fees unless expressly stated otherwise.
• All fees are exclusive of applicable taxes, which will be charged where required.

5. Client responsibilities

To deliver Services effectively, the Client agrees to provide timely access to relevant accounts, assets, information, approvals, and a designated point of contact. The Client is responsible for the accuracy and legality of materials and claims it provides, and for ensuring it has the rights to any content supplied to us.

6. Performance and no guarantee of results

We apply professional skill, data-driven methods, and reasonable care to deliver our Services. However, marketing outcomes depend on many factors outside our control — including third-party platforms, market conditions, Client products, budgets, and approvals. We do not warrant or guarantee any specific result, ranking, traffic, conversion, or revenue figure. Any examples, case studies, or projections are illustrative and not a promise of future performance.

7. Third-party platforms

Our Services often rely on third-party platforms (for example Google, Meta, analytics tools, hosting, and automation software). We are not responsible for changes to, outages of, or decisions made by these platforms, including account suspensions, policy changes, or pricing changes. Your use of those platforms is subject to their own terms.

8. Intellectual property

All content on the Site — including text, graphics, logos, and the YARD name and marks — is owned by or licensed to BOODLEYARD AI Technologies Private Limited and is protected by applicable laws. You may not copy, reproduce, or use it without our written permission.

For Engagements, ownership of final deliverables transfers to the Client upon full payment, unless otherwise stated in the SOW. We retain ownership of our pre-existing tools, frameworks, methodologies, and know-how, and may use anonymised, non-confidential learnings to improve our Services. We may reference completed work in our portfolio unless the Client requests otherwise in writing.

9. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other in connection with an Engagement and to use it only for the purpose of the Engagement. This obligation does not apply to information that is public, independently developed, or required to be disclosed by law.

10. Limitation of liability

To the maximum extent permitted by law, YARD shall not be liable for any indirect, incidental, special, or consequential damages, or for loss of profits, revenue, data, or goodwill, arising out of or related to the Site or the Services. Our total aggregate liability for any claim arising from an Engagement shall not exceed the fees paid by the Client to YARD for that Engagement in the three (3) months preceding the event giving rise to the claim.

11. Indemnity

The Client agrees to indemnify and hold harmless YARD and its directors, employees, and contractors from any claims, damages, or expenses arising out of the Client’s materials, products, instructions, or breach of these Terms.

12. Termination

Either party may terminate an Engagement in accordance with the notice terms set out in the applicable SOW. On termination, the Client shall pay for all Services performed and costs incurred up to the effective date of termination. Sections relating to fees due, intellectual property, confidentiality, limitation of liability, and indemnity survive termination.

13. Governing law and jurisdiction

These Terms are governed by the laws of India. Any dispute arising out of or in connection with these Terms or the Services shall be subject to the exclusive jurisdiction of the courts at Gurugram, Haryana, India.

14. Changes to these Terms

We may update these Terms from time to time. The “Last updated” date reflects the current version. Continued use of the Site or Services after changes are posted constitutes acceptance of the updated Terms.
